Issuance of Shares at the Time of Enactment of the Rules

The status of the Company’s share issuance at the time of establishing these regulations is as follows:

Flow of Share Issuance After Fundraising

  1. Shares will be issued on the share issuance date of April 16, 2025, upon achieving our targeted fundraising goal.

  2. Before completing the issuance of ordinary shares to investors, Planet Labs Inc. will transfer some Class A shares to local residents and experts.

  3. After the issuance of ordinary shares to investors is completed, the 100,000 ordinary shares held by Tamaki Nishimura, the founder and representative director of PlanetDAO002 Inc., will be acquired by PlanetDAO002 Inc. from the representative director without compensation and subsequently retired.

Status of Issuance of Shares After the Fundraising

  1. The status of share issuance at the start of PlanetDAO002 project is planned as follows.

  2. Planet Labs Inc. will not exercise voting rights in any decision makings.
