12. Regulations Management

Regulation Manager

1. The Project Management Company will act as the regulation manager.

2. The Project Management Company does not have the authority to change the regulations contrary to the changes specified in Article 35.

Duties of the Regulation Manager

1. The duties of the regulation manager are as follows:

2. Managing the administration related to the creation, amendment, and abolition of regulations.

Method of Changing Regulations

1. Shareholders other than the regulation manager may at any time make requests and proposals for the creation of new regulations or for changes and additions to existing regulations (including this regulation and the same applies hereinafter in this regulation).

2. However, unless otherwise specified by law or the articles of incorporation, new creations, changes, and additions to regulations will be made unless opposed by more than half of the voting rights of shareholders who hold at least 10% of the voting rights.

3. Notwithstanding the preceding two paragraphs, provisions within these regulations that set resolution requirements (including but not limited to Article 30 can only be changed if shareholders holding the proportion of voting rights specified in those provisions vote in favor, unless otherwise specified by law or the articles of incorporation.

Publicizing Regulations

1. The regulation manager must thoroughly publicize regulations that are established, amended, or abolished through a designated online chat tool.

Effectiveness and Expiry of Regulations

1. The effectiveness of regulations will generally commence from the enforcement date specified in those regulations.

2. When old regulations are abolished and new regulations are established, the effectiveness of the old regulations generally expires on the enforcement date of the new regulations.

Doubts About the Effectiveness and Interpretation of Regulations

1. In case of doubts regarding the effectiveness or interpretation of regulations, inquiries should be made to the regulation manager.

Storage of Regulations

1. Created regulations will be shared via a link on the online chat tool, accessible by anyone at any time.

2. The regulation manager must review the regulations appropriately and maintain the collection of regulations.
